Nodal lets you generate and publish a first-person, walkable 3D virtual store and embed it on your website via a script and web component. Features may include world and product-model generation, catalog import and live inventory/price, store configuration, and spatial analytics. We may add, change, or remove features over time.

3.Accounts & eligibility

You must provide accurate registration information and keep it up to date. You are responsible for safeguarding your credentials and for all activity under your account. You must be capable of forming a binding contract and must use the Service for business purposes. Notify us promptly of any unauthorised use.

4.Plans, fees & billing

Some features are offered on a free tier and others on paid plans. Paid subscriptions are billed through our payment processor on the cycle shown at purchase, and renew automatically unless cancelled before the renewal date. Fees are exclusive of taxes unless stated, and you are responsible for applicable taxes. Except where required by law, fees are non-refundable. We may change pricing on prospective notice; changes take effect at your next renewal. We may suspend the Service for non-payment.

6.Acceptable use

You may not, and may not allow others to: use the Service for unlawful, infringing, deceptive, or harmful purposes; sell prohibited or illegal goods; upload malware or attempt to breach, overload, scrape, or reverse-engineer the Service or its security (including the embed, asset tokens, or rate limits); misrepresent affiliation; or use the Service to build a competing product. We may investigate and act on violations, including suspension.

7.Intellectual property

As between the parties, Nodal owns all rights in the Service, including its software, design, and underlying technology. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service and to embed the virtual store on your registered domain(s) during your subscription. You own your Client Content. No rights are granted except as expressly stated.

8.Your content & licence to us

You grant Nodal a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, process, adapt (e.g. to optimise or format assets), and display Client Content and Generated Assets solely to provide and improve the Service for you. You may also grant us permission to reference your brand/logo as a customer; you can withdraw that marketing permission by contacting us.

9.AI-generated worlds & models

Generated Assets are produced using third-party AI providers from the inputs you supply. As between us, you may use Generated Assets within the Service for your store. AI output can be imperfect, may not exactly match your inputs, and is provided without warranty of accuracy or fitness. You are responsible for ensuring your inputs (including reference images) do not infringe third-party rights, and for reviewing Generated Assets before publishing.

10.Third-party services

The Service integrates with third parties (e.g. Shopify, WooCommerce, BigCommerce, payment and AI providers). Your use of those services is governed by their own terms, and we are not responsible for them. You authorise us to access and exchange data with a third-party service when you connect it. We may stop supporting an integration if a provider changes or discontinues access.

11.Data protection

Our handling of personal data is described in our Privacy Policy. Where we process personal data about your Shoppers on your behalf, you are the controller and we are the processor, and our Data Processing Agreement applies and is incorporated into these Terms. You are responsible for providing your Shoppers with required notices and for any consents needed.

12.Confidentiality

Each party may access the other’s non-public information. The receiving party will use it only to perform under these Terms and will protect it with reasonable care, except where disclosure is legally required. This does not apply to information that is public, independently developed, or rightfully received from another source.

13.Disclaimers

The Service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that Generated Assets will meet your expectations. Beta or preview features are provided without any warranty and may change or be withdrawn.

14.Limitation of liability

To the maximum extent permitted by law: neither party is liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or goodwill. Nodal’s total aggregate liability arising out of or relating to the Service and these Terms will not exceed the greater of (a) the amounts you paid to us in the twelve (12) months before the event giving rise to the claim, or (b) [FALLBACK CAP, e.g. INR 10,000 / USD 100]. These limits do not apply to liability that cannot be excluded by law.

15.Indemnification

You will defend, indemnify, and hold harmless Nodal and its officers, employees, and agents from any claims, damages, liabilities, and reasonable costs (including legal fees) arising from: your Client Content or products; your breach of these Terms or the law; your relationship with or claims by your Shoppers; or your infringement of any third-party right.

16.Term & termination

These Terms apply while you use the Service. You may stop using and close your account at any time. We may suspend or terminate your access if you breach these Terms, fail to pay, or create risk or legal exposure, and we may discontinue the Service on reasonable notice. On termination, your licence ends and we may delete your data after a reasonable period; you are responsible for exporting anything you wish to keep. Sections that by their nature should survive (e.g. IP, disclaimers, liability, indemnity, governing law) survive termination.

17.Changes to the service or Terms

We may update these Terms from time to time. We will revise the “Last updated” date and, for material changes, take reasonable steps to notify you. Your continued use after changes take effect means you accept the updated Terms. If you do not agree, stop using the Service.

18.Governing law & disputes

These Terms are governed by the laws of [GOVERNING-LAW STATE/CITY], without regard to conflict-of-laws rules. The courts located in [GOVERNING-LAW STATE/CITY] will have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court. (If you prefer arbitration, replace this clause with an agreed arbitration provision — a lawyer should confirm enforceability in your jurisdiction.)

19.General

These Terms (with the Privacy Policy and DPA) are the entire agreement between us and supersede prior agreements on this subject. If any provision is unenforceable, the rest remains in effect. Our failure to enforce a right is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. Neither party is liable for delays caused by events beyond its reasonable control (force majeure). Notices to you may be sent to your account email.
